1. Acceptance of Terms
By accessing or using the Payorth platform ("Service"), you agree to be bound by these Terms of
Service ("Terms"). If you do not agree to these Terms, do not use the Service.
Payorth is provided by Ascendoria Holdings LLC ("Payorth", "we", "us", "our"). These
Terms constitute a legally binding agreement between you and Ascendoria Holdings LLC.
2. Description of Service
Payorth is a WhatsApp-first accounts receivable assistant for small and medium enterprises (SMEs).
The Service enables you to:
- Create invoices through WhatsApp and manage them via the web dashboard
- Send automated payment reminders via WhatsApp on your behalf
- Collect payments from your customers through integrated payment providers
- Track payment status, outstanding balances, and financial analytics
- Reconcile bank statements against invoices
- Sync financial data with accounting platforms (Xero, QuickBooks, Sage, Zoho Books)
- Manage customer contacts and communication history
We reserve the right to modify, suspend, or discontinue any feature of the Service at any time, with
reasonable notice where practicable.
3. Your Account
You must provide accurate and complete information when creating an account. You are responsible for:
- Maintaining the security of your account credentials (phone number, OTP codes)
- All activities that occur under your account
- Ensuring that your team members with admin access comply with these Terms
- Notifying us immediately of any unauthorized use of your account
You must be at least 18 years old and legally authorized to represent the business entity you
register. One business may only register one active account.
⚠️ Important: You are responsible for all invoices created, reminders sent, and
payments collected under your account, whether by you, your team, or the AI assistant acting on your
instructions.
4. Payment Processing
Payorth facilitates payment collection through third-party payment processors. Key terms:
- No fund holding: Payorth does not hold customer funds. Payments are routed
directly to your designated bank account via Paystack, Stripe, M-Pesa, Yoco, or Mobile Money.
- Processing fees: You are responsible for any processing fees charged by the
payment provider. Payorth does not take a commission or percentage of your customer payments.
- Settlement: Settlement timelines depend on the payment provider and your
country. See each provider's terms for details.
- Refunds: You are responsible for managing refunds and disputes with your
customers. Payorth provides credit note functionality to assist with this.
- Compliance: You must ensure that your use of payment services complies with the
payment provider's terms and applicable financial regulations in your jurisdiction.
5. Subscription & Billing
Payorth offers subscription-based pricing plans:
- Free tier: Limited features with a defined invoice volume cap
- Paid plans: Billed monthly or annually, with access to premium features
- Auto-renewal: Subscriptions automatically renew at the end of each billing
period unless cancelled
- Cancellation: You may cancel your subscription at any time from your account
settings. You will retain access to paid features until the end of the current billing period
- Downgrades: If you exceed the limits of your new plan after a downgrade, some
features may be restricted until you reduce usage or upgrade
Refunds for subscription payments are handled in accordance with applicable consumer protection law.

6. WhatsApp & AI Usage
Payorth uses AI (powered by large language models) to understand your natural-language commands and
generate invoices, reminders, and reports. By using the Service, you acknowledge that:
- AI-generated content (invoice descriptions, reminder messages) should be reviewed before sending
to customers
- An owner approval flow ensures AI-drafted messages are reviewed before delivery
- All AI financial actions pass through a deterministic validation guard — the AI cannot create
invoices with invalid amounts, dates, or currencies
- WhatsApp communication is subject to WhatsApp's and Meta's terms of service
- Message volumes may be subject to WhatsApp Business API rate limits
💡 Note: Payorth's AI will never autonomously send messages to your customers
without your approval. All messages require either explicit confirmation or pre-configured
automation rules that you set up.
7. Data & Privacy
Your use of the Service is also governed by our Privacy Policy, which
describes how we collect, use, and protect your information. By using the Service, you consent to
the data practices described therein.
You represent that you have the necessary rights and permissions to share your customers' contact
information with Payorth for the purpose of invoice delivery and payment collection.
8. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose or to facilitate illegal transactions
- Send spam, fraudulent invoices, or deceptive communications through the platform
- Impersonate any person, business, or entity
- Attempt to gain unauthorized access to other users' accounts, data, or systems
- Interfere with or disrupt the Service's infrastructure or security mechanisms
- Use automated scripts or bots to interact with the Service outside of the provided API
- Reverse-engineer, decompile, or disassemble any part of the Service
- Use the Service to collect payments for goods or services that violate applicable law
Payorth reserves the right to suspend or terminate accounts that violate these terms, with or without
notice, depending on the severity of the violation.
9. Intellectual Property
The Service and its original content, features, and functionality — including but not limited to the
software, design, logos, and documentation — are owned by Ascendoria Holdings LLC and are protected
by international copyright, trademark, and other intellectual property laws.
Your content: You retain all rights to the business data, invoices, and customer
information you create or upload to the Service. By using Payorth, you grant us a limited,
non-exclusive license to process this data solely for the purpose of providing the Service.
10. Limitation of Liability
To the maximum extent permitted by law:
- Payorth is provided on an "as is" and "as available" basis without warranties of any kind,
whether express or implied
- We do not warrant that the Service will be uninterrupted, error-free, or completely secure
- Payorth shall not be liable for any indirect, incidental, special, consequential, or punitive
damages, or any loss of profits, revenue, data, or goodwill
- Our total aggregate liability for any claim shall not exceed the amount you paid us in the 12
months preceding the claim
- We are not responsible for the actions of third-party payment processors, WhatsApp, or AI model
providers
11. Termination
Either party may terminate this agreement:
- You: Cancel your account at any time through Settings → Account → Delete
Account
- Us: Suspend or terminate your access for violation of these Terms, with
reasonable notice where practicable
Upon termination:
- Your access to the Service will be deactivated
- You may request an export of your data within 30 days of termination
- We will delete your personal data per our Privacy Policy, except for
records required by law
- Any outstanding subscription fees remain payable
12. Changes to Terms
We reserve the right to modify these Terms at any time. We will provide notice of material changes
by:
- Updating the "Last updated" date at the top of this page
- Sending a notification through the dashboard or WhatsApp for significant changes
- Providing at least 30 days' notice before changes take effect
Your continued use of the Service after changes constitutes acceptance of the new Terms.
13. Governing Law & Disputes
These Terms are governed by the laws of the jurisdiction in which Ascendoria Holdings LLC is
incorporated. Any disputes arising from these Terms or the Service shall be resolved through:
- Step 1: Good-faith negotiation between the parties (30 days)
- Step 2: Mediation by a mutually agreed mediator (30 days)
- Step 3: Binding arbitration or court proceedings in the relevant jurisdiction
Nothing in this section limits your statutory rights under applicable consumer protection law.
